Information Note on the Amendments to Turkish Commercial Code

The Law on the Amendments to the Turkish Commercial Code and Certain Laws numbered 7511 (“Law”), which envisages amendments to the management and capital structures of companies operating within the scope of the Turkish Commercial Code numbered 6102 (‘TCC’), entered into force upon its publication in the Official Gazette dated May 29, 2024, and numbered 32560. Pursuant to the relevant articles of the Law, amendments are envisaged to the relevant articles of the TCC regarding the terms of office of the chairperson and deputy chairperson of the board of directors, the non-transferable powers of the board of directors, the procedure for calling the board of directors and the minimum capital structure of companies.
